Key legal & commercial issues
Shares or the asset
Real estate is bought either directly or through the shares in the company that holds it. Where the property already sits in its own company, a share transaction is often the obvious route. The buyer then takes over everything in that company, including tax on the increase in value of the property that has not yet been settled (latent tax). The route determines the documentation, the role of the civil-law notary and the real estate transfer tax, and we align it early with the tax advisors.
Working together on projects
Development and investment projects are often carried by several parties. Arrangements on funding, control, decision-making and exit should be settled before the project starts, including for the case in which a party is no longer able or willing to contribute.
