Vifo screening is a condition precedent to identify early
The Vifo Act can place a Dutch transaction behind a mandatory national-security review. This note sets out the scope questions, the standstill and the timetable points that belong in the transaction documents from the term sheet stage.
Screening under the Wet veiligheidstoets investeringen, fusies en overnames, the Vifo Act, is not something to address only once the commercial terms have been settled. Where it applies, clearance is required before completion and the review needs to be reflected in the conditions, long-stop date and allocation of regulatory risk. The practical question is therefore identified before the structure is fixed, not when the signing checklist is prepared.
A sound initial assessment follows a short decision tree. The first question is whether the Dutch target is a vital provider, an operator of a business campus, or active in sensitive or highly sensitive technology. The second is whether the proposed step is an acquisition activity within the Vifo Act, including an investment, acquisition of control, merger, demerger or acquisition of assets in the circumstances specified by the Act. The third is whether a sector-specific regime displaces the generic route.
Scope begins with the target's activities
For vital providers, business campus operators and companies active in sensitive technology, the relevant acquisition activity generally turns on control. For highly sensitive technology, the Vifo Act can also be engaged by the acquisition or increase of significant influence. That lower threshold makes the cap table, voting arrangements, appointment rights and follow-on investment mechanics as relevant as the purchase of a majority stake.
Which technologies count as sensitive is set out in secondary regulation and may change over time. An activity analysis should be tied to the target's actual products, development work, customers and group functions, rather than to a generic sector description.
Clearance changes the completion mechanics
A notifiable acquisition activity must generally be notified before it takes place. Closing before clearance is prohibited. Voting rights on shares acquired in breach of the standstill are also suspended, and the Minister may impose measures up to and including unwinding, with penalties for non-compliance, which gives the issue consequences beyond timing and into corporate ownership, financing and governance.
The condition precedent should identify the required Vifo clearance by reference to the relevant transaction steps, rather than simply referring to all applicable approvals. It should allocate responsibility for the notification, information flow and responses to BTI requests. It should also address the consequences of conditions attached to a clearance, including whether a remedy affecting governance, access to information, supply arrangements or a particular business line is acceptable to the parties.
A Vifo long-stop should be separate from a generic regulatory long-stop where the transaction has other approvals. BTI review usually takes several weeks to several months, including stop-the-clock information requests. That range is a planning input, not a completion promise, particularly where the technology analysis, group structure or investor information requires further explanation.
The signing package is stronger where the target has prepared an activity memorandum, a current ownership chart and a clear account of voting, board and reserved-matter rights. The buyer's information obligations are easier to manage where the relevant investor, financing and control chain has been mapped before notification. A covenant requiring both parties to cooperate is useful, but it does not replace an agreed internal process for assembling accurate answers.
The filing analysis should also be reflected in interim-operating covenants. An acquisition of additional shares, a change to voting arrangements, a board appointment right or a transfer of a relevant business asset between signing and completion can alter the assessment. The parties are better protected where the covenant requires consultation before a step that changes the notified facts, and where the long-stop extension mechanics distinguish a routine information request from a material remedy discussion.
Sector rules and the European overlay
The generic Vifo Act does not operate in isolation. Sectors such as energy and telecommunications have their own sector regimes, and the relationship between those regimes and the Vifo Act may determine which one applies. A target with several activities should therefore not be classified only by its most visible operating business.
New or amended sector rules are another reason to keep the regulatory analysis current through signing and completion. The European screening framework adds a wider policy and cooperation context, but it does not eliminate the need for a Dutch Vifo analysis. The transaction timetable should identify each filing route, the relevant authority and the dependencies between them.
For a live transaction, the most useful deliverable is a one-page matrix. It records the target activity, the proposed acquisition activity, each relevant voting threshold, the applicable regime, the filing owner, the expected review path and the contractual consequence. That matrix should be updated when the structure, investor group or completion date changes.
Points that decide the outcome
- The Vifo Act generally requires prior notification for in-scope acquisition activities.
- The scope analysis starts with vital providers, business campus operators, and sensitive or highly sensitive technology.
- Significant influence can make a minority investment notifiable in highly sensitive technology.
- Closing before clearance is prohibited, voting rights on shares acquired in breach of the standstill are suspended, and the Minister may impose measures up to and including unwinding.
- BTI review usually takes several weeks to several months, including stop-the-clock information requests, so the long-stop and cooperation provisions need specific treatment.
